About a month back, a couple of clients had come to me and briefed me about an application they are developing. They wanted to know how to best protect their application before going for the trial phase. Last week, one of them reached out to me again regarding incorporating their startup. They were employed professionals. So I asked for their employment agreements and as suspected they could not incorporate a company without risking their employment and the product itself. There was a way out with this respect, so I advised them accordingly.

Then there was also the question of capital for incorporating a company. But since they wanted the least financial risk possible, a limited liability company seemed to be the best option for them.

They wanted me to help them incorporate the company and do all the related work. Now, the problem I presently face is that although I have worked on Memorandum of Association and Articles of Association as an intern, I have never quite incorporated an LLP myself. So I am hesitant to take up a paying client for lack of knowledge and hands-on experience.
